Terms of Use

1. These Terms of Use (these "Terms") govern use of the AI-facing information disclosure platform "IDAEO" (the "Service") provided by 株式会社和心Washin Co., Ltd.(corporate number 8011401020677; registered address, reproduced as registered: 〒107-0061 東京都港区北青山一丁目3番1号 アールキューブ青山3階; "we" or "us"). 2. Any business entity using the Service (the "User") is deemed to have agreed to all of these Terms. 3. Fees, payment methods, automatic renewal, refunds upon cancellation and other fee-related matters are governed by the separate Subscription Terms; handling of personal information is governed by the separate Privacy Policy. Both form part of these Terms. 4. In case of conflict between these Terms, the Subscription Terms and the Privacy Policy, the document that specifically governs the matter prevails. 5. Our representative is Kaoru Takenouchi, Representative Director; our contact points are idaeo@idaeo.ai and 050-1726-8056.

(1) "We"/"us" means 株式会社和心Washin Co., Ltd.. (2) "Service" means the AI-facing information disclosure platform "IDAEO" provided by us. (3) "User" means a business entity that agrees to these Terms and uses the Service. (4) "Partner" means agencies and resellers collectively. (5) "Payment on behalf" means a Partner paying a User's fees in the Partner's own name. (6) "AI Platform" means a third-party service that provides answers generated by generative AI, having no capital or partnership relationship with us. (7) "Visibility Metrics" means estimated values calculated by us using our own methods. (8) "Generated Content" means text, images and other work product generated by the Service using AI. (9) "User Data" means all data the User provides to the Service or that we handle for the User through the Service. (10) "User-Submitted Content" means text, images, video, logos and other materials uploaded or posted by the User. (11) "Disclosed Information" means factual information about the User's business that the User discloses to AI systems through the Service.

1. The Service is offered to business entities. Besides companies, sole proprietors and other individuals are included as business entities, so long as they use the Service as a business or for business purposes. 2. Conversely, the Service is not offered to a person who uses it purely for personal purposes unrelated to any business (a consumer). The User represents and warrants that it enters into and uses the Service as a business or for business purposes, and is not a consumer as defined in Article 2, paragraph 1 of the Consumer Contract Act (消費者契約法); a consumer under that provision means an individual, but does not include an individual who becomes a party to a contract as a business or for business purposes. 3. Where Taiwanese law applies, the User represents and warrants that it is a business unit that does not purchase the Service for consumption purposes. 4. We may require commercial registration or other evidence of business status at application or at any time we deem necessary. If the User fails to comply without justification, or the evidence shows the User is not a business entity, we may decline the application or terminate under Article 27.

1. The use agreement is formed when the User completes the act of agreeing to these Terms in our prescribed application flow and we accept it. 2. We may decline an application where the applicant does not meet Article 3, has previously been terminated for breach, or where we otherwise reasonably so determine. 3. The items we display before an application, and the manner of their display, are governed by the Subscription Terms.

1. The User manages its account and credentials at its own responsibility and must not let a third party use them, or lend, assign or sell them. 2. All acts performed using an account are deemed acts of the User holding that account. 3. The User must notify us immediately upon learning of unauthorized use. 4. Even where a Partner configures or operates the Service for the User, the User is not relieved of its obligations under these Terms; a Partner's obligations are governed by a separate Partner Agreement.

1. The Service is an AI-facing information disclosure platform through which the User structures, publishes and maintains factual information about its own business in a form that AI systems can accurately read and cite. 2. What we provide is the means for that structuring, publication and maintenance, and not any result such as appearance, mention, citation or ranking on an AI Platform, or traffic to a website. The calculation and presentation of Visibility Metrics express our observation and estimation of how already-published information is treated by AI Platforms; they are neither a result forming the content of our performance nor a promise of any result. 3. The Service consists of the following functions: (1) receiving factual information provided by the User, structuring it and publishing it on media we designate; (2) functions for updating, correcting and withdrawing published information; (3) building and operating public pages for the User; (4) aggregating published information and displaying it as a list or in ranked order ("Public Rankings"); (5) calculating and presenting Visibility Metrics; and (6) such other functions as we may determine from time to time. 4. Public Rankings and public pages built for the User are a presentation by us, on set criteria, of information that has already been published; they are not our evaluation, endorsement, certification or warranty of the User. 5. The specific content, scope and available quantity of each function are as displayed by us on the Service. 6. We may use third-party services in providing all or part of the functions under this Article.

1. The core of the Service is the User's disclosure, to AI systems, of factual information about its own business. Accordingly, that Disclosed Information be true, accurate, verifiable and kept current is the User's central and continuing obligation under these Terms. 2. The User represents and warrants, as to Disclosed Information, that: (1) it is true and based on fact; (2) it contains no misleading expression, no exaggeration and no omission of material fact; (3) objectively verifiable particulars — the User's name, address, contact details, business hours, qualifications, licences and permits, services handled and the like — are supported by public registration or by the User's own records; and (4) the User has the lawful authority to disclose it. 3. Where Disclosed Information changes (including lapse or revocation of a licence or permit, suspension or discontinuance of business, change of address or contact details, change of services handled, and any other change of circumstances), the User must without delay update the Disclosed Information or request its withdrawal under Article 8. 4. The User shall confirm, at least every 〔要確認：開示情報の定期確認の頻度〕, that the Disclosed Information is in fact true and accurate. 5. This Article applies irrespective of whether the Disclosed Information takes the form of Generated Content, User-Submitted Content or factual information entered into the Service by the User. 6. The User bears all consequences arising from Disclosed Information that breaches this Article. As provided in Article 9, we have no obligation to actively investigate the truth of Disclosed Information.

1. The User may at any time request correction or withdrawal of Disclosed Information; such requests are received through our support channel (idaeo@idaeo.ai). Upon receipt of such a request we will acknowledge receipt within 〔要確認：訂正・取下げ請求の受領確認までの期限（営業日数）〕 and complete the correction or withdrawal within 〔要確認：訂正・取下げの完了期限〕. 2. Where we reasonably determine that any of the following applies, we may, without waiting for a request from the User, correct, unpublish or withdraw all or part of the Disclosed Information: (1) it breaches, or is likely to breach, Article 7; (2) it violates law or infringes the rights of a third party; (3) a third party has notified us of an infringement or other complaint; or (4) a public authority has so requested. 3. Where we correct, unpublish or withdraw under the preceding paragraph, we will notify the User without delay, save where such notice is prohibited by law. 4. The User acknowledges that, even after we withdraw publication, the information may persist in the indexes, caches, trained models or already-generated answers of AI Platforms, search engines or other third parties, and that we have neither the authority nor the means to erase it. We bear no liability for such persistence on the third party's side. 5. Requests for correction, suspension of use and erasure of personal information are governed by the Privacy Policy; intake under this Article and intake of corrections and withdrawals from Users under the Privacy Policy are operated through the same point of contact as set out in paragraph 1 of this Article. Other points of contact provided for in that policy (including objections from establishments with which we have no contractual relationship) are different from it. 6. Notifications of infringement by third parties, and the procedure for handling them, are governed by Article 17.

1. We have no obligation to actively investigate, verify or monitor whether information provided by the User, or disclosed through the Service, is true. We merely structure and publish the Disclosed Information as it stands, in reliance on the User's representations. 2. The preceding paragraph does not limit our power to correct, unpublish or withdraw under Article 8, paragraph 2. Neither our exercise of that power, nor our having verified facts as to part of the Disclosed Information, shall be construed as our assuming an obligation to investigate Disclosed Information generally. 3. Where Disclosed Information was true and accurate at some point in the past but has ceased to be true or accurate through a subsequent change of circumstances, the User bears the responsibility. We do not warrant that Disclosed Information is current. 4. Any acquisition time, update time or other point-in-time information we display on the Service indicates the time at which we received or processed that information; it does not indicate that the content of that information was true at that time. 5. This Article applies together with Article 7 (the User's obligations as to Disclosed Information) and Article 23 (Disclaimer).

1. We do not guarantee any result whatsoever from use of the Service, including appearance, mention, ranking, citation or reference of the User in AI Platform answers, website traffic, enquiries or sales. 2. We make no representation or warranty as to revenue, income, advertising outcomes or profits obtainable from use of the Service. 3. We bear no liability for how search engines, AI Platforms or other third parties treat Generated Content or public pages, including non-publication and punitive treatment.

1. We have no capital, partnership, endorsement or other special relationship with any AI Platform. The Service is not approved, sponsored or endorsed by any AI Platform. 2. The User acknowledges that we do not control and are not responsible for AI Platforms. In particular we are not responsible for: (1) an AI Platform's use of information about the User; (2) the particular ranking of information about the User as a result of a search or query; (3) the accuracy or contents of what is displayed on an AI Platform; or (4) an AI Platform's acceptance, display or non-display of information about the User, or any change thereto. 3. An AI Platform may, in its sole discretion and for any reason, decline to display information about the User; we do not guarantee such display. 4. We bear no liability where all or part of the Service becomes unavailable due to an AI Platform's specification change, change of terms, suspension or termination.

1. Visibility Metrics are estimates. Visibility Metrics, rankings, scores, traffic figures and other numbers presented by the Service are based on information obtained by us from third parties and on estimations and extrapolations made by us, and we do not warrant their accuracy, completeness, currency or fitness for a particular purpose. 2. Results the User obtains by querying an AI Platform itself may differ from the figures presented by the Service; we do not warrant that they will agree. 3. The User must not use Visibility Metrics as the sole basis for any legal, medical, financial or other material decision. 4. This Article is a binding provision forming part of these Terms, not informational material.

1. We may, in our reasonable discretion, modify or replace the method of calculating Visibility Metrics and the scope and combination of AI Platforms referenced.

2. Where such a change is made, we do not warrant the comparability of figures before and after the change; previously presented figures may be revised retroactively.

3. These Terms do not specify the technical means used to calculate Visibility Metrics, and the User shall not require such specification; an outline of the methodology is given in our separately published "Data and Methods" explanation.

1. We assign to the User all right, title and interest, if any, that we hold in Generated Content, save that we reserve the licence set out in Article 18, paragraph 4. 2. Generated Content is provided AS IS. We do not warrant that it is accurate, original, fit for any particular purpose, or non-infringing. 3. Generated Content is not unique, and identical or similar output may be provided to other users. The User waives, and releases us and other users from, any claim that another user's output is not unique. 4. The legal status of generative AI output is uncertain and such output may not be subject to protection under intellectual property law; we make no warranty in this regard. 5. The User must not use Generated Content to develop, train or improve a competing service or AI model, or assist a third party in doing so.

1. We create Generated Content for the User and publish it on the User's behalf on media we operate, on public pages built for the User, or in other locations we designate ("Publication on Behalf"). The User acknowledges that we are not a merely passive conduit.

2. Before Publication on Behalf, the User must review the accuracy, legality, suitability for its business and compliance with the industry regulations and other laws applicable to it, and approve the Generated Content by the method we prescribe.

3. We do not carry out Publication on Behalf without the User's approval. If the User does not raise an objection within 5 business days from the date on which we present the Generated Content to the User on the management screen, the User is deemed to have approved that Generated Content.

4. The User may at any time request correction or deletion of published Generated Content by the method we prescribe, and we will, in principle, respond within 14 business days. Such response is limited to the public pages we manage and does not extend to copies or caches held by search engines, AI Platforms or other third parties.

5. After the review under paragraph 2 and the approval under paragraph 3, the User bears responsibility for the content of the Generated Content.

1. Rights in User-Submitted Content are reserved to the User.

2. The User grants us a worldwide, royalty-free, irrevocable, sublicensable licence, surviving termination of the agreement, to display, host, copy, store, adapt, publish, distribute and use User-Submitted Content by means of public pages, structured data, APIs, data feeds for AI and other methods we determine.

3. The User represents and warrants that: (1) it holds all rights, licences, consents and authority necessary to provide the content and grant this licence; (2) it does not infringe any third party's copyright, trademark, likeness, privacy or other rights; (3) where it includes a person's photograph, name or testimonial, the necessary consent of that person has been obtained; and (4) it does not violate applicable law.

4. User-Submitted Content and Generated Content are premised on publication and may be obtained, copied, cited, used for training and redistributed by search engines, generative AI and other third parties. We do not restrict this and bear no liability for it.

1. A person who believes that content we provide or publish infringes their rights may submit a notice to idaeo@idaeo.ai stating: (1) the notifier's name and contact details; (2) information sufficient to identify the content concerned (URL, etc.); (3) the right alleged to be infringed; (4) an explanation that the notifier holds that right or is authorised by the rightholder; and (5) a statement that the particulars are true.

2. On receiving such a notice we may forward it to the User who supplied the content.

3. We may, in our discretion, delete or hide all or part of the content concerned, and we bear no liability to the User in doing so.

4. We may suspend the account of, or terminate, a User who repeatedly infringes rights, under Article 27.

5. We delete content that has been removed or hidden from our systems after 90 days, except where retention is required by law and except for copies remaining in backups.

1. Rights in User Data belong to the User, and nothing in this Article alters that.

2. The User licenses us to use, store, copy and display User Data, and to process it for aggregation or anonymisation, to the extent necessary to provide and maintain the Service, prevent misuse and enforce these Terms.

3. We are the sole owner of data sets and visualisation work product (including Visibility Metrics, rankings, statistics, reports and charts) created on the basis of aggregated or anonymised User Data. Even so, the User's rights in the User Data itself remain unaffected.

4. The User grants us a royalty-free, irrevocable licence to continue to publish, store and distribute Generated Content and public pages already published on the User's behalf, after termination of the agreement; the User may nonetheless request individual deletion under Article 15, paragraph 4.

5. Where the User presents or shares Visibility Metrics, rankings or other figures obtained through the Service with third parties, it shall attribute them to the Service by name.

6. We may use the User's name or logo in our customer case studies, customer lists or other promotional materials. The User's name and logo are information published through the Service, and we may use them both during the term of the agreement and after its termination. No opt-out mechanism is provided.

7. The period during which the User may export User Data after termination is 14 days (public pages and structured data may be obtained at any time while they remain published). Retention and deletion of personal information are governed by the Privacy Policy.

In using the Service the User must not: (1) violate law or infringe third-party rights; (2) in breach of Article 7, post, or cause to be posted, false information or information that misleads the recipient; (3) generate, post or commission false reviews, word-of-mouth, endorsements or engagement; (4) represent Generated Content as human-authored when it is not; (5) use the Service for the purpose of buying or selling online traffic or engagement; (6) use the Service for the purpose of improperly manipulating Visibility Metrics, rankings or other output; (7) use the Service or Generated Content to automate decisions having legal or similarly significant effects on individuals — employment, credit, housing, insurance, healthcare, legal and the like — without human review; (8) provide tailored legal, medical/health or financial advice without review by a qualified professional and disclosure of the use of AI; (9) use the Service to develop, train or improve a competing service or AI model, or assist a third party in doing so; (10) copy, modify, disassemble, decompile or reverse engineer the Service; (11) resell, lend or time-share the Service to third parties without our prior written consent (except under a Partner Agreement); (12) place excessive load on the Service's facilities, gain unauthorised access, or attempt either; (13) harm our reputation; or (14) act in any manner we reasonably determine to be comparable to the foregoing and inappropriate. This Article may be issued separately as our Acceptable Use Policy.

1. Where the User belongs to a sector subject to advertising, labelling or business regulation — medical institutions, employment placement agencies and the like ("Regulated Sector") — the party responsible for compliance with that regulation is the User itself, not us. 2. A User in a Regulated Sector agrees that it is the advertiser of record for Generated Content and public pages, and shall have the review under Article 15, paragraph 2 performed by a qualified professional required in that sector (for a medical institution, a practising physician or equivalent). 3. A User that is a Taiwanese medical institution understands that Article 84 of the Medical Care Act (醫療法, Taiwan) is a subject-based prohibition on medical advertising by non-medical institutions, and, on the premise that we are not a medical institution, shall itself verify and approve the legality of creating and publishing content that may constitute medical advertising. 4. For a User that is a Taiwanese employment placement agency: (1) the obligation to display the licence number and other statutory particulars rests with the User; (2) because Article 41 of the Employment Service Act (就業服務法, Taiwan) requires a person who, on commission, publishes or disseminates recruitment advertisements to retain the commissioning party's particulars for 2 months, we may require the User to provide its name, business registration number, address and telephone number; the User shall comply and we shall retain those particulars for at least 2 months; and (3) the User must not approve content containing any of the grounds of employment discrimination set out in Article 5 of that Act. 5. Where applicable law requires disclosure or information about the use of AI, the User is solely responsible for compliance; we do not determine or warrant whether such disclosure is required. 6. We do not warrant that the User's use of the Service complies with the laws applicable to the User; that assessment is the User's.

The User represents and warrants to us that: (1) it has authority to enter into and perform these Terms; (2) it is a business entity as defined in Article 3; (3) its User Data and User-Submitted Content satisfy each item of Article 16, paragraph 3; (4) it complies with the laws applicable to its sector; (5) it is not, and has no relationship with, organised crime groups or other antisocial forces; and (6) it complies with each paragraph of Article 7 in respect of Disclosed Information.

1. The User will defend us against, and indemnify us for, any amount a court of competent jurisdiction finally orders to be paid to a third party, or payable under a settlement approved by the User (including attorneys' fees, fines and administrative surcharges), in respect of any third-party claim, suit, or governmental investigation or proceeding (a "Covered Claim") arising out of or relating to: (1) User Data and User-Submitted Content; (2) Generated Content approved or published by the User under Article 15, paragraph 3; or (3) the User's breach of these Terms or of applicable law (including advertising, labelling and business regulation). 2. The obligation in the preceding paragraph does not apply to the extent the Covered Claim arises from our fraud, wilful misconduct, gross negligence or our own violation of law. 3. We will notify the User of a Covered Claim within a reasonable period after becoming aware of it, and the User may conduct the defence at its own expense. The User must not enter into any settlement that creates an obligation or admission of liability for us without our prior written consent.

1. The Service and Generated Content are provided AS IS and AS AVAILABLE. We make no warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. 2. We do not warrant, and expressly disclaim, that the Service and Generated Content are accurate, complete, error-free or uninterrupted. 3. We are not liable for delay, interruption or non-provision caused by third-party services (AI Platforms, telecommunications carriers, cloud providers, payment providers and the like). 4. This Article does not apply in cases of our wilful misconduct or gross negligence.

1. We bear no liability for indirect, special, incidental, consequential or exemplary damages (including lost profits, business losses, loss of contracts, revenue, goodwill or data, and the cost of procuring substitute services) arising out of or relating to these Terms or the Service. 2. Our aggregate liability to the User is limited to the total fees actually paid by the User to us in the 12 months preceding the event giving rise to the claim. 3. The preceding two paragraphs do not apply to: (1) the User's obligations under Article 22 (Indemnification); (2) the User's payment obligations; (3) the User's infringement of our intellectual property rights; or (4) our wilful misconduct or gross negligence.

Fees, payment methods, currency, taxation, term, automatic renewal, cancellation timing, refunds and price increases are governed by the separate Subscription Terms. Even where a Partner makes payment on the User's behalf, the User is not relieved of its obligation to pay us (the Partner's obligations are governed by a separate Partner Agreement).

1. The term and the cancellation procedure are governed by the Subscription Terms; the timing of cancellation (at any time, taking effect on the expiry date of the subscription term in which it was requested) and any penalty or other detriment (none) are set out there.

2. The following survive termination: (1) Article 14, paragraphs 3 and 4, and Article 18, paragraphs 3 to 5; (2) Articles 22 to 24; (3) Articles 33 and 34; and (4) monetary obligations accrued before termination.

3. Treatment of User Data after termination is governed by Article 18, paragraph 7 and the Privacy Policy. Generated Content and public pages already published on the User's behalf may continue to be published after termination, under Article 18, paragraph 4.

1. We may, in principle without prior notice, suspend all or part of the User's use of the Service or terminate the agreement where the User: (1) breaches Article 3, 7, 19, 20 or 21; (2) is in arrears with fees and fails to cure, after the notice provided for in the Subscription Terms, within the period set out therein; (3) made false statements in its application; or (4) suspends payments, enters bankruptcy proceedings or the like. Provided that item (2) (arrears of fees) is governed by the notice and the cure period set out in the Subscription Terms. 2. We are not liable for loss suffered by the User as a result of such measures, save in cases of our wilful misconduct or gross negligence. 3. The measures under paragraph 1 do not preclude our claim for damages against the User.

1. We may change the content of the Service and add or discontinue individual functions.

2. We may temporarily suspend all or part of the Service without prior notice for maintenance, faults, suspension of third-party services or other unavoidable reasons.

3. If we discontinue the Service in its entirety, we will notify Users at least 14 days in advance.

4. Treatment of fees for the unexpired period in that case is governed by the Subscription Terms.

1. We may amend these Terms; amendment is governed by Article 548-4 of the Civil Code (民法). 2. When we amend these Terms, where the amendment is disadvantageous to Users, we will post the amended content and its effective date on our website at least 14 days before that effective date; an amendment that is favourable to Users, or minor, may take effect immediately upon posting. 3. For paying Users, an amendment that is disadvantageous to Users applies from that User's next renewal date. 4. A User that does not agree to the amendment may cancel without penalty or other detriment before the effective date (for paying Users, before the next renewal date). 5. For an amendment that is disadvantageous to Users, we do not treat posting alone as making it immediately effective.

1. Notices from us to the User are given by display on the Service, by sending to the e-mail address registered by the User, or by posting on our website.

2. Notices from the User to us are to be sent to idaeo@idaeo.ai.

The User must not assign, transfer or pledge its position under these Terms, or the rights and obligations arising from them, to any third party without our prior written consent.

1. If any provision of these Terms is held invalid or unenforceable, the remaining provisions are unaffected. 2. These Terms, the Subscription Terms and the Privacy Policy constitute the entire agreement between the parties regarding use of the Service.

1. These Terms are governed by the laws of Japan.

2. The Tokyo District Court shall have exclusive jurisdiction in the first instance over all disputes between the parties arising in connection with these Terms and the Service.

1. These Terms are provided in Japanese, Traditional Chinese, Simplified Chinese and English. 2. In the event of any discrepancy between the language versions of these Terms, the original-language version of these Terms shall prevail.
