IDAEO Terms of Use (AEO and IDA Services)
These Terms of Use (the "Terms") set out the conditions of use of the IDAEO AEO and IDA services provided by Washin Co., Ltd. (株式会社和心) ("we," "us," or "our") (those provided at idaeo.ai and its subdomains; the "Service").
These Terms apply together with our "Terms of Use" (https://idaeo.ai/legal/terms) and the Subscription Terms. These Terms specifically govern the AEO and IDA plans, login and URL registration, and external account connections. Matters not provided for in these Terms are governed by the documents above.
1. Operator
- Name: Washin Co., Ltd. (株式会社和心) (Corporate Number 8011401020677)
- Address: R-Cube Aoyama 3F, 1-3-1 Kita-Aoyama, Minato-ku, Tokyo 107-0061, Japan
- Contact: idaeo@idaeo.ai
2. Consent
Users shall use the Service after agreeing to these Terms and the Privacy Policy (https://idaeo.ai/privacy/en). A user is deemed to have agreed to these Terms at the time of logging in to the Service.
3. Description of the Service
The Service helps a store or business (the "business") check whether AI assistants and search engines read and display its information correctly, and supports its improvement. The following plans are available. The specific contents, prices, and availability of each plan are shown on the Service.
- Free AEO: inspection of registered URLs, and display of inspection results and improvement methods
- AEO+ (paid): weekly re-inspections, email notifications, checking of AI answers and alerts, and connection with external accounts
- IDA (paid): creation and publication of a business page (IDA page) compiling the business's factual information, creation of articles, and monthly re-verification
- IDA+ (paid): in-depth research in addition to IDA, provision of reservation methods to AI, and other features shown on the Service
Some features of the Service are provided progressively, and features not yet available are marked as such on the Service.
4. Accounts
- Using the Service requires logging in with a Google, LINE, Apple, or Facebook account.
- Users shall manage the account they use to log in at their own responsibility.
- When using the Service as a business, the user represents that they have the authority to agree to these Terms on behalf of that business.
5. URL Registration and Business Management
- Users can register URLs in "My URLs" and have them inspected. When a user registers a URL after logging in, that user is treated as having "claimed" that URL.
- In IDA and IDA+, one URL can be managed by multiple users. The user who is paying the fee for IDA or IDA+ is the top-level administrator of that URL. The top-level administrator may transfer this role to another user who is likewise paying the fee.
- If someone without the authority to represent the business has claimed it, a person with that authority may become the top-level administrator by paying the fee for IDA or IDA+, and may remove other administrators.
- If multiple users are paying the fee for IDA or IDA+ for the same URL, the user who most recently newly subscribed (excluding payments made through automatic renewal) is the top-level administrator. When the top-level administrator changes, we will notify all administrators and keep a record.
- If there is a dispute over administrative rights, please contact idaeo@idaeo.ai or use the application method we designate. Our personnel will respond individually.
- Users must not use the Service by impersonating a business for which they have no authority.
6. Connection with External Accounts
- On paid plans, a business may optionally authorize connections with accounts such as Google Business Profile, Google Search Console, Google Analytics, Bing Webmaster Tools, Cloudflare, and social media.
- Connections are offered in phases, and connections that are available are shown on the Service.
- Connections are, in principle, read-only. If we offer features that change settings or write information, we will obtain the business's consent each time before doing so.
- A business can disconnect at any time. After disconnection, we stop obtaining new information.
- The handling of information obtained through connections (including the handling when the administrator changes) is set out in the Privacy Policy. Data obtained from Google APIs is handled in accordance with the Google API Services User Data Policy (including the Limited Use requirements).
- The use of each external service is subject to the terms of the respective provider.
7. Fees and Payment
- The fees for paid plans are the amounts shown on the Service.
- Payment is made by credit card through a payment service provider (Stripe). The first fee is charged at the time of application, and subsequent fees are charged automatically on each renewal date.
- Paid plans can be cancelled at any time. Cancellation takes effect on the next renewal date, and no pro-rated refunds are given. Other matters regarding fees and refunds are governed by the Notation Based on the Act on Specified Commercial Transactions (https://idaeo.ai/legal/tokushoho) and the Subscription Terms.
8. Referral Program
- Users of Free AEO and AEO+ can use referral links. If a person who visited through a referral link logs in for the first time within 30 days, that person is treated as a referred person.
- When a referred person first completes payment for AEO+, one month of AEO+ is granted to the referring user.
- If the referred person obtains a refund within 14 days of the first payment date, any benefit not yet applied is revoked, and a benefit already in effect ends at the end of the current benefit period and will not be extended.
- Referring oneself (including the same user, the same email address, or the same payment customer) is not eligible.
- We may change or end the referral program. Changes and endings will be announced on the Service.
9. Public Pages and Short URLs
- IDA pages, business pages, and articles publish business information that is public on the business's official website or in public registrations, together with information provided by the business. Articles are published by the method the business chose (automatic publication or batch approval).
- A business may request correction or deletion of published content at any time.
- Links for reservations, directions, and the like may use short URLs on our domain. We record the number of uses, date and time, referrer, and type of action of short URLs, and use them in reports to the business.
- Even after a paid plan ends, we will endeavor to keep already published short URLs redirecting to the business's original URL.
10. Information Provided by Users
- Users warrant that the information they provide to the Service is accurate and does not infringe the rights of third parties.
- Users grant us the right to use the information they provide to the extent necessary to provide the Service (including creating and publishing business pages and articles, and creating structured data for AI).
11. Notes on Inspection Results and AI
- Inspection results, figures, alerts, and articles are produced using automated inspection and AI. We strive for accuracy, but they may contain errors.
- AI assistants and search engines are operated by businesses separate from us, and we do not guarantee that they will cite, recommend, or display a business.
- The number of AI crawler visits does not indicate that an AI has cited or recommended the business.
- Some access counts are estimates (including sampling) by external services.
12. Prohibited Acts
Users must not engage in any of the following acts.
- Acts that violate laws or public order and morals
- Impersonating others, or managing a business without authority
- Providing false information
- Placing an excessive load on the Service or third-party systems, or accessing them without authorization
- Using information about others obtained through the Service for purposes other than those of the Service
- Any other act that we reasonably judge to be inappropriate
13. Changes to and Suspension of the Service
We may change or suspend all or part of the Service due to maintenance, failures, changes in the specifications of external services, or other unavoidable reasons. For significant changes, we will endeavor to announce them in advance on the Service.
14. Suspension of Use and Termination
If a user violates these Terms, we may suspend the user's use of the Service or delete the account without prior notice. A user may contact idaeo@idaeo.ai at any time to request deletion of the account.
15. Limitation of Liability
- We are not liable for indirect damages, special damages, or lost profits arising to a user in connection with the Service, except where caused by our intentional misconduct or gross negligence.
- Where we are liable, the amount is limited to the total fees the user paid to us in the 12 months before the cause of the damage arose. However, this does not apply where the damage is caused by our intentional misconduct or gross negligence, or where law does not permit this limitation.
16. Changes to the Terms
We may change these Terms. If we do, we will announce the changes and their effective date in advance on the Service. Use of the Service after the effective date is deemed agreement to the changes.
17. Governing Law, Jurisdiction, and Language
- These Terms are governed by the laws of Japan.
- The Tokyo District Court shall have exclusive agreed jurisdiction as the court of first instance over disputes relating to these Terms.
- The Japanese version of these Terms is the authoritative version. The Traditional Chinese, Simplified Chinese, and English versions are reference translations, and if there is any discrepancy, the Japanese version prevails.
